ZIPMENTS.IO — SELF-SERVE WIDGET TERMS & CONDITIONS

These Terms & Conditions (“Terms”) govern your access to and use of the Zipments embeddable widgets (“Widgets”). By creating an account, generating a widget link, embedding a Widget, or clicking “I Agree,” you accept and agree to be bound by these Terms. If you do not agree, you may not use the Widgets.

1. DESCRIPTION OF SERVICE

Zipments provides lightweight, embeddable tools (“Widgets”) that allow website operators to offer automated customs, trade, and logistics features to their site visitors. Widgets include functions such as PARS/PAPS lookups, duty/tax estimation, HS lookups, and certificate-related tools.

Each Widget is provided via an embed link assigned to your account (“Widget Link”).

2. ACCOUNT REGISTRATION

To use the Widgets, you must:

• Create an account with a valid email address
• Provide accurate and current contact and account information
• Maintain the security of your login credentials
• Notify Zipments immediately of any unauthorized access

You authorize Zipments to contact you regarding your widget deployment, usage levels, technical issues, and any required transition to a commercial agreement.

You are responsible for all activity under your account.

3. ACCEPTABLE USE

You agree not to:

• Use the Widgets for illegal, harmful, misleading, or deceptive purposes
• Alter, modify, obscure, or remove any Widget branding or attribution
• Embed the Widgets on websites that promote violence, hate, abuse, discrimination, illegal products/services, malicious software, or intellectual-property violations
• Interfere with or disrupt the Widgets, servers, or network
• Reverse-engineer, decompile, scrape, or attempt to access source code
• Misrepresent your relationship with Zipments
• Use bots or automated systems to simulate traffic
• Resell, sublicense, or redistribute the Widgets without written authorization
• Collect, store, or harvest personal information submitted through the Widgets

Zipments may request information to verify your compliance.

4. REFERRER & USAGE TRACKING

Each Widget Link contains a unique identifier. You acknowledge that Zipments may track:

• Widget usage
• Traffic levels
• API calls
• Integrator performance
• Abuse, excessive load, or security anomalies

Zipments may throttle, suspend, or terminate access if your usage impacts system performance or violates these Terms.

5. ESCALATION TO PAID LICENSE

The self-serve version is provided at no cost unless:

• Your usage exceeds thresholds determined by Zipments, or
• You use the Widgets as part of a commercial offering (including charging your own clients).

If so, Zipments will notify you and require a commercial Software License Agreement. Declining a commercial license may result in suspension.

6. DATA & PRIVACY

All data submitted through any Widget is owned by Zipments.

You may not extract, store, reuse, or monetize Widget-submitted data.

Zipments processes information according to applicable privacy laws and may use aggregated or anonymized data for analytics and service improvement.

You must provide a privacy notice on your site that discloses your own data collection practices, including the use of any third-party analytics or cookies.

7. REQUIREMENTS FOR YOUR SITE

You are solely responsible for your website, including:

• Its content, operation, maintenance, and security
• Ensuring that your site does not violate laws or third-party rights
• Ensuring that your site is suitable and safe for embedding Widgets
• Providing truthful representations to your visitors
• Complying with all applicable laws, including privacy and consumer-protection laws

Zipments has no responsibility for your site or any end-user claims relating to your site.

8. NO WARRANTIES & NO RELIANCE

All Widgets are provided “as-is” and “as-available.”

Zipments makes no warranties, express or implied, regarding:

• accuracy of results or calculations
• correctness of tariff codes or classifications
• suitability for customs, taxation, brokerage, or regulatory compliance
• uptime, uninterrupted access, or freedom from errors
• completeness of any information generated through the Widgets

All outputs (including duty estimates, PARS/PAPS statuses, HS codes, or origin-related details) are informational only and must be verified independently.

Zipments does not provide legal, customs, regulatory, or compliance advice through the Widgets.

9. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

• Zipments is not liable for any indirect, incidental, special, consequential, punitive, or exemplary damages
• Zipments is not liable for loss of profits, business, data, or goodwill
• Zipments has no liability for decisions, compliance failures, or actions taken based on Widget outputs
• Zipments’ total cumulative liability is limited to $100

You assume all risk associated with use of the Widgets.

10. INTELLECTUAL PROPERTY

All Widgets, code, designs, trademarks, and documentation are the exclusive property of Zipments.

These Terms do not grant you ownership of any intellectual property.

You may not:

• copy, modify, reproduce, or create derivative works
• use Zipments marks except as they appear by default within a Widget
• claim endorsement, partnership, or affiliation
• misrepresent Zipments’ role as the service provider

11. TERMINATION

Zipments may suspend or terminate your access at any time, with or without notice, including for:

• breach of these Terms
• site unsuitability
• excessive traffic or abusive behavior
• refusal to enter a required commercial license

Upon termination, you must remove all Widget Links within 48 hours.

12. MODIFICATION OF TERMS

Zipments may update or modify these Terms at any time.

Continued use of the Widgets after changes become effective constitutes acceptance of the updated Terms.

13. INDEPENDENT CONTRACTORS

You and Zipments are independent entities. These Terms do not create a partnership, joint venture, employment, agency, or fiduciary relationship.

14. GOVERNING LAW

These Terms are governed by the laws of British Columbia, Canada.

Disputes shall be resolved by arbitration in Vancouver, British Columbia.

15. ACCEPTANCE

By creating an account, embedding a Widget, or clicking “I Agree,” you consent to these Terms.
